ACCEPTANCE OF THE TERMS OF USE

These Terms of Use (“Terms”) are a legally binding agreement between you and Admalite, LLC (“Admalite,” “we,” “us,” or “our”). These Terms govern your access and use of our websites, including www.admalite.com, mobile applications, and social media pages referencing these Terms (collectively, the “Service”), along with any content, features, and services offered through the Service, whether as a guest or a registered user.

Please review these Terms carefully before using the Service. By accessing the Service or by clicking to accept or agree to these Terms when prompted, you acknowledge and agree to be bound by these Terms and our Privacy Policy, available at http://www.admalite.com/privacy-policy (“Privacy Policy”), which is hereby incorporated by reference. If you do not agree to these Terms or the Privacy Policy, you must refrain from accessing or using the Service.

The Service is intended for use by individuals who are legally capable of entering into binding contracts with Admalite. By using the Service, you represent and warrant that you meet this eligibility requirement. If you do not meet this requirement, you must not use the Service.

CHANGES TO THE TERMS OF USE

We reserve the right to modify these Terms at our discretion. If we make any changes, the revised Terms will be posted with a revised effective date. The updated Terms will apply immediately to all subsequent use of the Service. Please check this page regularly to stay informed of any changes, as they are binding on you.

ACCESSING THE SERVICE AND ACCOUNT SECURITY

We may, at our sole discretion and without notice, modify, suspend, or discontinue the Service or any part thereof. We are not liable for any unavailability or inaccessibility of the Service, in whole or in part. We may, from time to time, restrict access to certain portions of the Service or the entire Service to specific users, including registered users.

You are responsible for ensuring that you have the necessary arrangements to access the Service. Subject to your compliance with these Terms, Admalite grants you a limited, non-exclusive, non-transferable, non-sublicensable right and license to access and use the Service solely for personal, non-commercial purposes or as expressly permitted by Admalite under a separate written agreement (an “Authorized Use”).

The Service, including all content, features, and functionalities, is owned by Admalite, its licensors, or other providers of such material, and is protected by United States and international intellectual property laws. You may not reproduce, distribute, modify, create derivative works, publicly display or perform, republish, download, store, or transmit any material from the Service, except as automatically occurs during Authorized Use or as expressly permitted by these Terms or a separate written agreement with Admalite. You may print or download material from the Service for your personal, non-commercial use, but not for further reproduction, publication, or distribution. You must not:

• Modify copies of any materials from the Service.
• Remove or alter any copyright, trademark, or other proprietary rights notices from copies of materials from the Service.
• Use the Service or any part thereof for commercial purposes without express authorization from Admalite.

The Admalite name, logo, and all related names, logos, product and service names, designs, and slogans are trademarks of Admalite or its affiliates or licensors. You may not use these marks without the prior written permission of Admalite. All other names, logos, product and service names, designs, and slogans on the Service are the trademarks of their respective owners.

PROHIBITED USES

You may use the Service only for lawful purposes and in accordance with these Terms. You agree not to use the Service:

• In any way that violates any applicable federal, state, local, or international law or regulation.
• To engage in conduct that restricts or inhibits anyone’s use or enjoyment of the Service, or which, as determined by us, may harm Admalite or users of the Service or expose them to liability.

Additionally, you agree not to:

• Use the Service in a way that could disable, overburden, damage, or impair the Service, or interfere with any other party’s use of the Service.
• Use any automated means, such as robots, spiders, or other automated devices, to access the Service.
• Use any manual process to monitor or copy any of the material on the Service without our prior written consent.
• Use any device, software, or routine that interferes with the proper functioning of the Service.
• Introduce any malicious or harmful material, such as viruses, trojan horses, worms, or logic bombs, to the Service.
• Attempt to gain unauthorized access to, interfere with, damage, or disrupt any parts of the Service.

USER CONTRIBUTIONS

You represent and warrant that all User Contributions comply with these Terms. You are solely responsible for any User Contributions you submit, including their legality, reliability, accuracy, and appropriateness.

We are not responsible, or liable to any third party, for the content or accuracy of any User Contributions posted by you or any other user.

MONITORING AND ENFORCEMENT; TERMINATION

We reserve the right to:

• Remove or refuse to post any User Contributions for any reason at our sole discretion.
• Take any action with respect to any User Contribution that we deem necessary or appropriate, including if we believe that such User Contribution violates these Terms or infringes any rights.
• Disclose your identity or other information to any third party who claims that material posted by you violates their rights.
• Take legal action for any illegal or unauthorized use of the Service.

We have the right to cooperate with law enforcement authorities or court orders requesting the disclosure of identity or other information related to anyone posting materials on or through the Service. You waive and hold Admalite harmless from any claims resulting from any action taken by Admalite during or as a result of investigations.

We assume no liability for any action or inaction regarding transmissions, communications, or content provided by you or anyone else. We have no liability or responsibility for performance or nonperformance of the activities described in this section.

CONTENT STANDARDS

User Contributions must comply with applicable laws and regulations. User Contributions must not:

• Be defamatory, obscene, indecent, abusive, offensive, violent, hateful, inflammatory, or otherwise objectionable.
• Promote sexually explicit or pornographic material, violence, or discrimination based on race, sex, religion, nationality, disability, sexual orientation, or age.
• Infringe any intellectual property or other rights of any person.
• Violate the legal rights or privacy of others.
• Be likely to deceive any person.
• Promote illegal activity or advocate unlawful acts.
• Impersonate any person or misrepresent your identity or affiliation.
• Involve commercial activities or sales without our prior written consent.
• Give the impression that they emanate from or are endorsed by us.

RELIANCE ON INFORMATION POSTED

The information presented on or through the Service is provided for general informational purposes. We do not warrant the accuracy, completeness, or usefulness of this information. All information we collect on the Service is subject to the Privacy Policy. By using the Service, you consent to all actions taken by us with respect to your information in compliance with the Privacy Policy.

LINKING TO THE SERVICE AND SOCIAL MEDIA FEATURES

You may link to our homepage, provided you do so in a way that is fair and legal and does not damage our reputation or take advantage of it. You must not establish a link in a way that suggests any form of association, approval, or endorsement on our part without our express written consent.

The Service may provide social media features that enable you to:

The Service is based in the United States. We make no claims that the Service or its content is accessible or appropriate outside of the United States. If you access the Service from outside the United States, you do so on your own initiative and are responsible for compliance with local laws.

YOUR USE OF THE SERVICE, ITS CONTENT, AND ANY OTHER SERVICES OR ITEMS ACCESSED THROUGH THE SERVICE IS AT YOUR OWN RISK. NEITHER ADMALITE NOR ANY PERSON ASSOCIATED WITH ADMALITE MAKES ANY WARRANTY OR REPRESENTATION WITH RESPECT TO THE COMPLETENESS, SECURITY, RELIABILITY, QUALITY, ACCURACY, OR AVAILABILITY OF THE SERVICE. WITHOUT LIMITING THE FOREGOING, NEITHER ADMALITE NOR ANYONE ASSOCIATED WITH ADMALITE REPRESENTS OR WARRANTS THAT THE SERVICE, ITS CONTENT, OR ANY OTHER SERVICES OR ITEMS OBTAINED THROUGH THE SERVICE WILL BE ACCURATE, RELIABLE, ERROR-FREE, OR UNINTERRUPTED, THAT DEFECTS WILL BE CORRECTED, OR THAT THE SERVICE OR THE SERVER THAT MAKES IT AVAILABLE IS FREE OF VIRUSES OR OTHER HARMFUL COMPONENTS OR THAT THE SERVICE OR ANY OTHER SERVICES OR ITEMS OBTAINED THROUGH THE SERVICE WILL OTHERWISE MEET YOUR NEEDS OR EXPECTATIONS. ADMALITE HEREBY DISCLAIMS ALL WARRANTIES OF ANY KIND, WHETHER EXPRESS OR IMPLIED, STATUTORY, OR OTHERWISE, INCLUDING BUT NOT LIMITED TO ANY WARRANTIES OF MERCHANTABILITY, NON-INFRINGEMENT, AND FITNESS FOR A PARTICULAR PURPOSE.

LIMITATION ON LIABILITY

IN NO EVENT WILL ADMALITE, ITS AFFILIATES, OR THEIR LICENSORS, SERVICE PROVIDERS, EMPLOYEES, AGENTS, OFFICERS, OR DIRECTORS BE LIABLE FOR DAMAGES OF ANY KIND, UNDER ANY LEGAL THEORY, ARISING OUT OF OR IN CONNECTION WITH YOUR USE, OR INABILITY TO USE, THE SERVICE, ANY WEBSITES LINKED TO IT, ANY CONTENT ON THE SERVICE OR SUCH OTHER WEBSITES, OR ANY SERVICES OR ITEMS OBTAINED THROUGH THE SERVICE OR SUCH OTHER WEBSITES, INCLUDING ANY INDIRECT, SPECIAL, INCIDENTAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, PERSONAL INJURY, PAIN AND SUFFERING, EMOTIONAL DISTRESS, LOSS OF REVENUE, LOSS OF BUSINESS, LOSS OF USE, LOSS OF GOODWILL, OR LOSS OF DATA, WHETHER CAUSED BY TORT (INCLUDING NEGLIGENCE), BREACH OF CONTRACT, OR OTHERWISE, EVEN IF FORESEEABLE.

INDEMNIFICATION

You agree to defend, indemnify, and hold harmless Admalite, its affiliates, licensors, and service providers, as well as its and their respective officers, directors, employees, contractors, agents, licensors, suppliers, successors, and assigns from and against any claims, liabilities, damages, judgments, awards, losses, costs, expenses, or fees (including reasonable attorneys’ fees) arising out of or relating to your violation of these Terms or your use of the Service, including, but not limited to, your User Contributions, any use of the Service’s content, services, and products other than as expressly authorized in these Terms or your use of any information obtained from the Service.

GOVERNING LAW AND JURISDICTION

All matters relating to these Terms and any dispute or claim arising therefrom or related thereto (including non-contractual disputes or claims) shall be governed by and construed in accordance with the internal laws of the State of Oregon without giving effect to any choice or conflict of law provision or rule. Any legal suit, action, or proceeding arising out of, or related to, these Terms or the Service shall be instituted exclusively in the federal courts of the United States or the courts of the State of Oregon. You waive any and all objections to the exercise of jurisdiction over you by such courts and to venue in such courts.

WAIVER AND SEVERABILITY

No waiver by Admalite of any term or condition set forth in these Terms shall be deemed a further or continuing waiver of such term or condition or a waiver of any other term or condition, and any failure of Admalite to assert a right or provision under these Terms shall not constitute a waiver of such right or provision. If any provision of these Terms is held by a court or other tribunal of competent jurisdiction to be invalid, illegal, or unenforceable for any reason, such provision shall be eliminated or limited to the minimum extent such that the remaining provisions of the Terms will continue in full force and effect.

ENTIRE AGREEMENT

These Terms and the Privacy Policy constitute the sole and entire agreement between you and Admalite with respect to the Service and supersede all prior and contemporaneous understandings, agreements, representations, and warranties, both written and oral, with respect to the Service.

GENERAL

This SALES CONTRACT outlines the Terms and Conditions governing the purchase of goods and/or services (“Products”) by the Purchaser identified on the front page (“Purchaser”) from ADMALITE, LLC (“ADMALITE”). The Products are as described on the front page of this SALES CONTRACT. The images provided are for illustrative purposes only, and actual products may vary. These Terms and Conditions shall prevail over any terms and conditions in any purchase order or other forms submitted by the Purchaser to ADMALITE, and in case of inconsistency, these Terms and Conditions shall take precedence.

CANCELLATION

Purchaser shall not revoke or cancel this SALES CONTRACT or cause any work or shipment to be postponed, except with the written consent of, and upon terms agreed to by, ADMALITE. Any such cancellation or delay shall be accompanied by full compensation to ADMALITE for any losses incurred as a result.

PRICE

Unless otherwise stated, all prices specified in this SALES CONTRACT are F.O.B. ADMALITE facilities. Prices are subject to change without prior notice. They do not include any applicable taxes, such as excise, sales, use, property, transportation, and/or occupational taxes, or any other taxes related to the sale or use of the Products, whether currently in force or imposed in the future, along with associated penalties and expenses. Purchaser is responsible for the collection and payment of all such taxes, whether or not they are itemized in any invoice for the products. Purchaser shall indemnify and hold ADMALITE harmless from any imposition and payment of such taxes. ADMALITE may, at its discretion, separately invoice Purchaser for any taxes not included in ADMALITE’s initial invoice, which Purchaser shall promptly remit, or, in lieu thereof, furnish ADMALITE with an acceptable tax exemption certificate recognized by all relevant taxing authorities. Unless otherwise specified herein, all prices exclude: (a) inland freight, insurance, and other costs and expenses associated with the shipment of the products from the F.O.B. point, ADMALITE’s site, to Purchaser’s facility; and (b) any special packaging required by Purchaser. If ADMALITE arranges for inland transportation, all expenses pertaining to such transportation shall be borne by Purchaser and paid to ADMALITE upon receipt of ADMALITE’s invoice. If Purchaser necessitates any special packaging for product shipment, the cost thereof shall be invoiced separately and paid by Purchaser. In the event that delivery of the products, or any portion thereof, is delayed due to the fault of the Purchaser, all additional costs and expenses incurred by ADMALITE as a result of such delivery delay, including those related to storage, shall be billed to and settled by Purchaser.

DELIVERY

Transfer of title, ownership, possession, and property of the shipment to the Purchaser occurs upon delivery to a public carrier at the relevant ADMALITE facilities, dispatched as directed by Purchaser. Thereafter, the carrier shall be deemed to act on behalf of Purchaser, and the shipment shall be at Purchaser’s risk. IMPORTANT NOTICE TO PURCHASER: Do not accept any package(s) or item(s) until you have thoroughly inspected their contents. You have the right to inspect the item(s) while the shipping company awaits your approval. Should you find the item(s) to be damaged or incomplete, please make clear note of it on the bill of lading, reject the package(s) or item(s), return them to the shipper, and promptly contact us. By accepting the package(s) or item(s), you assume full responsibility for their condition. Any damages or missing parts occurring during shipping will then be your full responsibility. Damaged or incomplete items are not covered under any warranty and are non-refundable. We assure the functionality and absence of manufacturer’s defects in all our items. Defective items must be reported within 5 days of receipt and returned within 14 days for a replacement or full refund, free of charge.

Non-defective items in their original condition may be returned within 30 days of receipt for a refund of the purchase price, excluding shipping. The Buyer is responsible for return shipping costs. A minimum restocking fee of 20% applies. Items are not eligible for return after 30 days.

All customers are required to comply with the Safety Bulletin.
